  Registration and Approval for the Establishment of a Foreign-Funded Enterprise

  • Legal Basis

  • Procedures of Approval
    1. Company Name Check
      A project official should issue the Name Pre-registration Notice to a an enterprise in a sector measuring up to the Catalogue of the Guidance of Foreign Investment Industry .An investor may obtain the corresponding application documents in accordance with the organizational form of the enterprise to be set up.
    2. Document Preparation
      An investor should prepare a feasibility research report (or an investment plan), a contract, the articles of association and other required documents. The investor shall have the license or approval handled at the authorities concerned.

    5. Issuance of the approval of the Administrative Commission, the certificate of approval and business license
  • Time Limit
    The time for handling will not surpass seven working days if all documents are complete. (projects requiring the approval of the State competent departments excluded)
  • Notice on Handling
    1. All application documents should be on A4 paper.
    2. A Chinese version should be attached to a document in a foreign language.
    3. All application documents should be written in black sign pen or pen.
    4. All application documents should be submitted in duplicate, with one original copy and one photocopy.
  • Fees
    1. Enterprise Registration Fee:
      The enterprise registration fee shall be paid at a rate of 0.8бы for the part below 10 million RMB Yuan (including 10 million RMB Yuan) of its registered capital and 0.4бы for the part over 10 million RMB Yuan of its registered capital. An enterprise with the registered capital of over 100 million RMB Yuan shall pay a maximum registration fee of 44,000 RMB Yuan and shall be exempt from the registration fee for the part over 100 million RMB Yuan.

  • Remarks:
    1. An overseas Chinese scientist or technician is welcome to start an undertaking in TEDA. He/she may still establish a hi-tech enterprise in TEDA if he/she has already obtained permanent residency or has set up enterprises abroad. After obtaining the Certificate of Hi-tech Project issued by the TEDA Science and Technology Development Bureau, he/she may set up a joint venture with a minimum registered capital equaling 100,000 RMB Yuan and the capacity of free foreign currency conversion.
    2. After obtaining its business license, an enterprise which conducts operation outside TEDA shall prepare for the procedures of branch establishment. Please contact the Enterprise Administration Section of TEDA Economic Development Bureau for more information.
